1. The service

CapVein Limited ("CapVein", "we", "us") operates a capital readiness diagnostic platform at capvein.co. The platform provides project developers with a Capital Readiness Score™, gap analysis, evidence tracking, and capital routing intelligence.

2. Not financial advice

CapVein is a diagnostic and readiness tool. It does not constitute financial advice, investment advice, credit rating, ESG rating, or any form of regulated financial service. The Capital Readiness Score™ is a project readiness assessment only. CapVein does not arrange, broker, recommend, or advise on any financing or investment transaction. Nothing on this platform should be relied upon as a substitute for professional legal, financial, or technical advice.

3. Not an introduction service

CapVein provides research, intelligence, and tools only. We do not introduce users to investors, lenders, or offtakers. All outreach is initiated and controlled by the user from their own accounts and channels. CapVein takes no commission, success fee, or outcome-based payment of any kind.

4. Your account

You are responsible for maintaining the security of your account. You must not share your login credentials. You must provide accurate information when creating an account. You must be authorised to represent the project or company you register.

5. Acceptable use

You may not use CapVein to: misrepresent your project or company; submit false or misleading information; attempt to access other users' data; reverse-engineer the platform; or use the platform for any unlawful purpose.

6. Payment and refunds

Diagnostic fees and subscription fees are charged via Stripe. All payments are in EUR. The Diagnostic (€750) is a one-off, non-refundable fee for delivery of your gap report. Annual subscriptions are non-refundable after 14 days from purchase. Mandate engagements are invoiced separately and governed by individual engagement letters.

7. Intellectual property

The Capital Readiness Score™ methodology, scoring framework, gap library, and platform are the intellectual property of CapVein Limited. You retain ownership of all project data you submit to the platform.

8. Limitation of liability

CapVein's liability is limited to the fees paid by you in the 12 months preceding any claim. We are not liable for any indirect, consequential, or loss-of-profit damages arising from use of the platform.

9. Governing law

These terms are governed by the laws of Ireland. Any disputes are subject to the exclusive jurisdiction of the Irish courts.
